Terms of Service

1. Agreement

These terms govern your use of the RivalCheck platform ("Service") operated by RivalCheck ("we", "us", "our"). By creating an account or using the Service, you agree to these terms. If you are using the Service on behalf of an organisation, you represent that you have authority to bind that organisation to these terms.

2. The Service

RivalCheck monitors publicly available competitor websites, captures snapshots, and provides AI-powered analysis of changes. The Service is designed for lawful competitive intelligence purposes.

We reserve the right to modify, suspend, or discontinue any part of the Service with reasonable notice. We will make commercially reasonable efforts to notify you of material changes.

3. Accounts

You must provide accurate information when creating an account. You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account. Notify us immediately if you suspect unauthorised access.

You must be at least 18 years old to use the Service. One person or entity may not maintain more than one free account.

4. Acceptable use

You agree to use the Service only for lawful purposes. You must not:

• Monitor websites you are not legally permitted to access
• Use the Service to scrape or collect personal data of individuals
• Attempt to access authenticated, private, or paywalled content through the Service
• Use the Service in a way that violates any applicable law or regulation
• Interfere with or disrupt the Service or its infrastructure
• Resell, redistribute, or sublicense access to the Service without our written consent
• Reverse-engineer, decompile, or attempt to extract the source code of the Service

We may suspend or terminate accounts that violate these terms, with notice where practicable.

5. Subscriptions and payment

Paid plans are billed in advance on a monthly or annual basis through Stripe. Prices are displayed on our pricing page and are exclusive of applicable taxes unless stated otherwise.

You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period — you retain access to paid features until then. We do not provide refunds for partial billing periods, except where required by law.

We may change our prices with at least 30 days' notice. Price changes apply from the next billing cycle after the notice period.

6. Free trials

We may offer a free trial period for new accounts. If you do not subscribe to a paid plan before the trial ends, your account will be downgraded and monitoring will be paused. We reserve the right to modify or discontinue trial offers at any time.

7. Your data

You retain ownership of any data you provide to the Service (competitor URLs, organisation details, etc.). We claim no intellectual property rights over your content.

You grant us a limited licence to process your data as necessary to provide the Service, including sending it to third-party AI providers for analysis. See our Privacy Policy for details.

You may export your data at any time from your account settings. On account deletion, we remove your data within 30 days, subject to legal retention requirements.

8. Competitor content

The screenshots and web page content we capture from competitor websites remain the intellectual property of those website owners. RivalCheck provides this content to you under the principle of fair use for competitive analysis purposes. You are responsible for ensuring your use of this information complies with applicable law.

9. Availability and support

We aim to keep the Service available and reliable, but we do not guarantee uninterrupted access. The Service is provided on an "as is" and "as available" basis. We may perform maintenance that temporarily affects availability, and will provide reasonable notice for planned downtime.

10. Limitation of liability

To the maximum extent permitted by law, RivalCheck's total liability for any claim arising from or related to the Service is limited to the amount you paid us in the 12 months preceding the claim.

We are not liable for indirect, incidental, special, consequential, or punitive damages, including lost profits, lost data, or business interruption, even if we have been advised of the possibility of such damages.

Nothing in these terms excludes liability that cannot be excluded under applicable law (including liability for fraud or personal injury caused by negligence).

11. Indemnification

You agree to indemnify and hold RivalCheck harmless from any claims, losses, or damages (including legal fees) arising from your use of the Service, your violation of these terms, or your violation of any third party's rights.

12. Changes to these terms

We may update these terms from time to time. We will notify you of material changes by email or through the Service at least 30 days before they take effect. Continued use of the Service after changes take effect constitutes acceptance of the updated terms.

13. Governing law

These terms are governed by the laws of England and Wales. Any disputes will be subject to the exclusive jurisdiction of the courts of England and Wales, except where you have a statutory right to bring proceedings in a different jurisdiction.
